we have 3 days to get out of our 429k Jumbo @ 5.375 refi. Is it a good rate for the SF Bay area? or should we pay down to conforming and/or look for lower rate.

The loan in itself is a good loan.  I guess the question to ask is why did you decide not to pay down the loan in the first place.  You were most likely always going to get a better rate being under $417k
