The name change affects the title search, articles of incorporation, officers, and letter of good standing the corporation has to supply.

Cannot change anything on the Agreement without consent - that's the bottom line.

Are they attempting to change the name by Addendum?  If so, and if it does not affect you in any way, it should not be an issue.

If your Closing Agent does not have an Issue with the transfer you should be Fine. But if you are getting any kind of Goverment backed Loan they have rules regarding ownership (Flipping) that are not allowed. You need to go to your Mortgage Professional and Speak with them Prior to Signing anything.

What should we do?  The contracts have listed Bi State Properties as the Seller, but now they want the contract ammended to say Atlas Professional Consulting Llc. Our closing is tomorrow, and they spring this on us at the last minute.  It all feels fishy.

A name change affects every underlying document in the transaction including the original sales contract.

You need to get guidance from a real estate attorney.  We can't see the documents being used to render an opinion.

We are not attorneys - and cannot give you specific advice.

Usually when a Corporation is a seller they are required to present a list of docs for examination by the title company/closing attorney.  One critical doc is a letter of good standing from the state where they are incorporated.

At the least have your real estate agent get an extension to the closing date so everything can be reviewed by either the title company or your own attorney before you close.
