SUMMER GUEST TERMS AND CONDITIONS These Guest Terms and Conditions (the "Agreement") constitute a binding agreement between you and LS Management LLC ("Summer") and govern the booking, rental, and use of any property reserved for vacation or short-term rental purposes through the Summer platform or via a third-party platform that includes this Agreement or incorporates it by reference (each, a "Property"). By booking a Property through the Summer platform or indicating your agreement via a third-party platform, you agree to be bound by the terms of this Agreement. Reservation By booking a Property, you agree to pay all charges associated with that reservation, including the listed rental price and any listed cleaning fees, service fees, and applicable taxes. The reservation includes access to the Property itself and all facilities, amenities, and areas listed as accessible in the reservation listing ("Common Areas"). You are responsible for your own travel to and from the Property. The reservation entitles you to use the Property for the reserved dates between the listed check-in and check-out times. You may request early check-in and/or late check-out, but early check-in and/or late check-out will only be available if confirmed in writing by Summer. Summer and the owner of the Property reserve the right to enter the Property at any time where reasonably necessary and permitted by law. Your Responsibility You are responsible for your own acts and omissions and those of your family members, guests, and other invitees. You assume all risks associated with use of the Property and all Common Areas. Minimum Age Unless otherwise required under applicable law, (a) you must be at least 25 years of age to make any reservation, (b) hereby confirm you are at least 25 years of age, and (c) agree that any guests under 21 shall be accompanied at all times by an individual over 25 while on the Property, including any Common Areas. Occupancy Limits The Property may not at any time be occupied by more than the number of individuals identified in the listing and reservation confirmation. Good Guest To respect and protect the owners of the Property, the Property itself, and the surrounding area and neighbors, you are required to comply with the following: Treat the Property with the same care you use to care for your own residence and belongings. Leave the Property in the same condition it was found. Comply with all house rules provided by the owner. Be respectful of the Property and neighbors and refrain from any activity disruptive to neighbors or the surrounding area. Lock all doors and windows when not on the Property and upon checkout. Refrain from any audible noise outside the Property between the hours of 10pm and 8am. Do not smoke in any interior space. Do not host parties in the space or at any time exceed the occupancy limits per Section 4 above. You are responsible for ensuring the compliance of your family members, guests, and other invitees with the above standards and all terms and conditions of this Agreement. No Pets No animals are allowed except for bona fide service animals unless specifically permitted otherwise in the reservation. Temporary Use Only; No Commercial Use You agree the rental is only temporary and transient, that you will not use the Property as a permanent residence, and that you have and will maintain a permanent residence elsewhere. You acknowledge and agree you are granted no rights of tenancy under this Agreement or via your use of the Property. You further agree that no rights to the Property are granted by this Agreement other than those explicitly granted herein for your limited use of the Property in connection with your booking. You may not reserve or use the Property for commercial purposes or for any other purpose other than the personal use of you and your family members, guests and invitees. Furthermore, you are prohibited from conducting any commercial activity on or from the Property. Cancellation Policy If you cancel a confirmed reservation more than 60 days prior to the first day of the reservation, you will receive a full refund. Cancellations made after this time but at least 30 days prior to the reservation will receive a refund of 50% of the cost of the reservation. Cancellations made fewer than 30 days in advance of the reservation are not eligible for a refund. No Commercial Photography No commercial photography is allowed of the Property or Common Areas. No Illegal Activity You agree to comply with all applicable laws, regulations, and ordinances and to not engage in any illegal conduct on the Property. Summer may report any illegal conduct and share your information with law enforcement authorities in the case of any breach of this section. Breach of Obligations, Damage to Property, and Misconduct If you or any of your family members, guests, or other invitees fail to adhere to the conditions, requirements, and prohibitions of this Agreement, cause damage to the Property, or engage in other misconduct, it may result in a range of consequences, including but not limited to: Immediate termination and loss of permission to use the Property. Suspension or revocation of your Summer platform account. Cancellation of any pending or confirmed bookings on the Summer platform. A fee of $150 for violation of the pet policy. A fee of up to $500 for staying past specified check-out time. Recovery of the value of any bookings lost by Summer due to your actions. The cost of repairing or replacing any damage or loss to the Property, its contents, or any Common Areas. Recovery of costs to fully clean the property. Recovery of any fines or fees issued or charged by any government or law enforcement entity, utility provider, homeowner association or similar body. You hereby authorize Summer to directly charge the payment method on file for all such charges and damages. Summer may also pursue any remedies available under applicable law. You agree to cooperate in good faith with any investigation or recovery efforts by Summer under this section. This includes providing any information or documentation requested by Summer to substantiate claims of damage or loss. User Account Requirements To use the Summer platform and reserve any Property, you must create an account and must be at least 25 years of age, unless otherwise required under applicable law. Where permitted by applicable law, Summer reserves the right to, but is not required to, conduct background checks and/or credit checks, request further verification of information, perform identity verification checks, and obtain reports from public sex offender or criminal records databases. Summer reserves the right to deny or revoke your account at any time, in Summer's sole discretion, to the extent permitted by applicable law. You must provide accurate and complete information when creating an account and must keep this information up-to-date. You are prohibited from transferring your account to another party or allowing anyone else to use your account. You must inform Summer immediately if your account is compromised or if your password is lost or stolen. DISCLAIMER OF WARRANTIES THE PROPERTY, SUMMER PLATFORM, AND ALL CONTENT THEREIN ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE EXTENT PERMITTED BY LAW, SUMMER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF SAFETY, FITNESS FOR PURPOSE, AND QUIET ENJOYMENT. SUMMER DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT THE PROPERTY WILL MEET YOUR EXPECTATIONS, OR THAT ANY DEFECTS WILL BE CORRECTED. Indemnification You agree to indemnify, defend, and hold harmless Summer, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, demands, causes of action, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with (i) your use of the Property, (ii) any breach or alleged breach of this Agreement by you or any of your family members, guests, or invitees, or (iii) any damage or loss caused by you or any of your family members, guests, or invitees to the Property or any third party. You assume sole responsibility for your personal property and the personal property of your family and guests. Summer is not responsible for any loss, damage, theft, or vandalism to any of your personal property used at any Property. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EITHER PARTY BE LIABLE OR RESPONSIBLE TO THE OTHER PARTY FOR ANY TYPE OF SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES FOR PERSONAL OR BODILY INJURY, ILLNESS OR DISEASE, OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE PROPERTY. THE LIMITATIONS AND EXCLUSIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND SHALL SURVIVE THE TERMINATION OR EXPIRATION OF THIS AGREEMENT. NOTHING IN THIS AGREEMENT SHALL LIMIT OR EXCLUDE EITHER PARTY'S LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY WHICH CANNOT BE LIMITED OR EXCLUDED BY APPLICABLE LAW. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflicts of law provisions. Dispute Resolution YOU AND SUMMER AGREE TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT, SUCH AS ACCESS TO DISCOVERY, ALSO MAY BE UNAVAILABLE OR LIMITED IN ARBITRATION Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in New York, New York before one arbitrator in accordance with the provisions regarding Legal Disputes in the Terms of Use on the Summer platform which are incorporated herein by this reference. The arbitration shall be administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. You and Summer agree to waive your respective rights to a jury trial and to participate in class actions. Force Majeure Summer will use commercially reasonable efforts to ensure the availability of the Property when reserved by you. However, Summer shall have no liability or responsibility for and will make no refund of any amounts paid in connection with its inability to perform, or any delay in or cancellation of a reservation due to forces beyond the control of Summer, including but not limited to acts of war, government instability, national economic instability, epidemics, quarantine regulations or other public health restrictions or advisories, terrorist attacks, strikes, acts of nature such as earthquakes, hurricanes, tornados and typhoons or any other such event that renders a reserved Property unavailable, hindered or delayed as determined by Summer in its sole discretion. Assignment Summer may assign its rights and obligations under this Agreement, but you may not do so without the prior written consent of Summer. Severability If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Entire Agreement This Agreement constitutes the entire agreement between you and Summer with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
